Vendor Service Agreement
⚠️ Regulatory Notice for Vendors & Corporate Bonding:
Registering as a vendor constitutes full legal consent and digital log registration (Audit Trail) to this binding agreement with SHH Technologies (One-Person Company), CR No. 289441 and Tax ID 418-080-774, subject to El-Basateen Tax Authority. Vendors are strictly required to issue full tax invoices directly to the end customer, isolating SHH Technologies from gross revenue tax pools.
This agreement outlines the terms and conditions for selling products on SmartHome Hub. By registering as a vendor, you agree to be bound by these terms.
1. Scope of Service
SmartHome Hub provides an online marketplace platform allowing registered vendors ('Vendors') to offer and sell smart home products to end-users ('Customers').
SmartHome Hub acts solely as an intermediary venue and is not a party to the sales contract between the Vendor and the Customer.
2. Product Quality & Authenticity
The Vendor warrants that all products listed are:
- Genuine, original, and brand new (unless explicitly marked as used/refurbished).
- Free from manufacturing defects.
- Compliant with all local safety and environmental regulations.
SmartHome Hub assumes no liability for the quality, safety, or legality of the items advertised or sold.
3. Warranty & Returns (Responsibility Shift)
The Vendor is solely responsible for:
- Providing a mandatory warranty period (minimum 14 days for returns, and standard manufacturer warranty for defects).
- Handling customer complaints regarding product defects.
- Bearing the cost of reverse shipping for defective or incorrect items.
4. Indemnification
The Vendor agrees to indemnify, defend, and hold harmless SmartHome Hub, its owners, and employees from any claims, liabilities, damages, or expenses arising out of:
- Any defect in the Vendor's products.
- Any breach of this agreement by the Vendor.
- Violation of any third-party rights (e.g., intellectual property).
5. Commission & Payouts
SmartHome Hub charges a commission fee on the final sale price (excluding shipping). Payouts are processed weekly after the return period has cleared.
* Stock SLA & Financial Settlements: Vendors must maintain perfect stock sync. In the event an online paid order is cancelled due to an out-of-stock inventory oversight, a processing penalty SLA of (50 EGP) will be deducted automatically from the vendor's digital wallet to cover transaction cancellation fees.
• Anti-Fraud & Fund Freezing Compliance: In strict alignment with our certified payment gateway provider requirements, SmartHome Hub (SHH Technologies) reserves the absolute legal right to temporarily freeze, hold, or restrict any pending payouts or earnings of any independent vendor. This preventive measure will be enforced in the event of suspicious activity, suspected fraudulent transactions, or upon receiving an official customer chargeback/dispute. The freeze shall remain active until the verification inquiry is concluded. If fraud or product defect is verified, the vendor shall bear full financial liability and chargeback penalties, completely indemnifying the platform.
• Premium Shipment Insurance Liability: To maintain maximum transit safety, products valued up to 5,000 EGP are fully exempt from insurance costs. For premium devices exceeding 5,000 EGP, the independent vendor strictly bears a 2% logistics insurance fee applied only to the excess amount over 5,000 EGP. This fee is automatically deducted from the vendor's total earnings during order payout settlement to cover transit risk protection for high-value electronics.
* Account Termination & Governing Law: SmartHome Hub reserves the right to instantly terminate any account bypassing platform rails. This agreement shall be governed by the laws of Egypt, and any legal disputes shall be subject to the exclusive jurisdiction of the competent courts in Cairo, Egypt.
